Terms of Service

 

THESE TERMS REQUIRE ARBITRATION ON AN INDIVIDUAL BASIS. ALSO, THESE TERMS SET FORTH SPECIFIC REMEDIES AVAILABLE TO YOU. PLEASE SEE SECTIONS 7 AND 18 TO LEARN MORE.

These Terms of Service (this “Agreement”) govern your use of Tour De East Coast Inc. (a Nova Scotia corporation) services, including Tour De East Coast's website, mobile applications, and any other digital platforms or interfaces (collectively, the “Services”).  Tour De East Coast provides vehicle rental services within the Province of Nova Scotia only. By accessing or using the Services, you (“you,” “your” or “User”) agree to comply with these Terms. If you do not agree, please do not use the Services. Tour De East Coast reserves the right to modify or update these Terms at any time (at its discretion) without notice; your continued use of the Services after any changes constitutes acceptance of those changes. Unless otherwise stated, all monetary values in these Terms are in Canadian dollars.

 

1. Access License

Tour De East Coast grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use, subject to this Agreement. This license does not include any right to (a) resale or sub-licensing of the Services or its content, (b) copying or distribution of any content on the Services (such as vehicle images, descriptions, text, graphics, or software) except as expressly permitted by Tour De East Coast, (c) use of data mining, robots, spiders, or similar data gathering and extraction tools on the Services, or (d) any other exploitation of the Services or its content. Any unauthorized use of the Services automatically terminates the rights granted herein.

 

2. Permitted Use

You agree to use the Services only in accordance with this Agreement and all applicable laws and regulations. You will not use the Services to:

  • violate or promote the violation of any law, statute, ordinance or regulation (including traffic or vehicle operation laws of Nova Scotia), or the rights of any third party;

  • transmit any malware, virus, or any malicious code that may harm Tour De East Coast, the Services, or any users;

  • reverse-engineer, decompile, copy, modify, distribute, transmit, display, perform, create derivative works from or exploit any part of the Services or its content, except as expressly allowed by Tour De East Coast;

  • harvest or collect personal information about other users without authorization; or

  • operate or use any rental vehicle obtained through the Services in a manner that violates any law or regulation (including traffic, parking, or safety rules) or that endangers any person or property.

Your use of the Services is subject to this Agreement; in the event of a conflict between this Agreement and any other agreement you enter into with Tour De East Coast (such as a Rental Agreement, if applicable), this Agreement will control with respect to your use of the Services unless otherwise specified in writing.

 

3. Copyright and Ownership

All content on the Services – including text, graphics, images, logos, audio, video, and software – is owned by Tour De East Coast or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except as otherwise permitted by applicable law, you may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any content obtained from the Services without the express prior written consent of Tour De East Coast. You are responsible for obtaining permission before using any content on the Services beyond the scope of this license. Any such unauthorized use terminates your license to use the Services.

 

4. Trademarks; No Endorsement

The “Tour De East Coast” name, the Tour De East Coast logo, and all related names, logos and taglines are trademarks or service marks of Tour De East Coast. You may not use Tour De East Coast's trademarks without Tour De East Coast’s express written consent. Nothing in this Agreement grants you any right or license to use Tour De East Coasts trademarks. You also agree not to use any of Tour De East Coast’s names, logos, or similar graphics in a way that implies Tour De East Coast’s endorsement of any product, service, or content that you offer.

5. Account Registration and Security

To use certain features of the Services (such as vehicle booking), you must create a Tour De East Coast account. You agree to provide true, accurate, current, and complete information when registering (“Registration Data”) and to update such information promptly as needed to keep it accurate. You are responsible for the confidentiality and security of your account credentials (e.g. email and password) and for all activities that occur under your account. You must notify Tour De East Coast immediately of any unauthorized use of your account or any other security breach. Tour De East Coast has the right to suspend or terminate your account (and your access to the Services) if you provide false Registration Data, or if Tour De East Coast reasonably suspects a breach of security. Tour De East Coast’s collection and use of your personal data is governed by Tour De East Coast’s Privacy Policy (https://www.tourdec.com/privacy-policy).

 

6. Payment Terms

a. Payment Method & Charges: You may be required to provide Tour De East Coast with a valid payment method (credit card, debit card, etc.) to use the Services or rent vehicles. You authorize Tour De East Coast to charge this payment method for all rental fees, Service fees, and applicable taxes, fees or other governmental charges incurred through your use of the Services. If a payment is declined or disputed, you remain responsible for all fees. You agree to notify Tour De East Coast of any changes to your payment method. Tour De East Coastreserves the right to suspend your account or your rentals if we cannot process payment.

b. Prepaid Balance / Auto-Top-Up (if offered): Tour De East Coast may offer an account pre-load or auto-recharge feature. If you enable auto-top-up, you authorize Tour De East Coast to automatically charge your payment method to reload your Tour De East Coast account balance when it reaches a low threshold that you specify. You may cancel auto-top-up at any time through your account settings. Any promotional credits or bonuses provided for using auto-top-up are for rental use only and are non-refundable. TTour De East Coast may modify or discontinue auto-top-up features at any time without prior notice.

c. Payment Processors: Tour De East Coast uses secure payment processors to handle your payments. By providing payment information, you also agree to comply with the terms of use of such payment processors (e.g., Stripe, PayPal). Tour De East Coast does not store your full payment card numbers on its servers. You authorize Tour De East Coast to share your payment information with payment processors as needed to complete your transactions.

 

7. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR RIGHTS.

  • Initial Dispute Resolution: If you have any disputes, claims or concerns regarding the Services or this Agreement, you agree first to contact Tour De East Coast’s support team to seek a resolution in good faith. You must engage in this support process before initiating arbitration or any legal action.

  • Arbitration: If a dispute cannot be resolved via support, you and Tour De East Coast agree that any claim or controversy arising out of or relating to this Agreement, or your use of the Services, will be finally resolved by binding arbitration under the Nova Scotia Commercial Arbitration Act (NS) by a neutral arbitrator agreed to by the parties. The arbitration will follow the rules of the arbitration provider selected and will be conducted by telephone, online, or in person in Halifax, Nova Scotia (or another agreed location in Nova Scotia) teapothecarytea.com. The arbitrator shall apply the substantive law of Nova Scotia. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator may award any remedy or relief that would be available in court, including attorney’s fees if provided by law.

  • Class Action Waiver: YOU AND TOUR DE EAST COAST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A CLASS MEMBER OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. In the event any portion of this class action waiver is found unenforceable, the arbitration provision above will be null and void and the parties will be deemed not to have agreed to arbitrate disputes.

  • Exceptions: Notwithstanding the above, either party may bring an action in a court of law: (i) to protect its intellectual property rights (such as patent, copyright, trademark or trade secrets); and (ii) for disputes within the jurisdiction of the Small Claims Court of Nova Scotia.

  • Right to Opt Out: If you do not want to arbitrate disputes or waive class actions, you must send written notice (“Opt-Out Notice”) to Tour De East Coast within 30 days of your first use of the Services. Send the Opt-Out Notice to Tour De East Coast Inc., Halifax, Nova Scotia, Canada (or email Info@tourdec.com) with your name, address, and the last four digits of your payment method. The Opt-Out Notice must expressly state your intent to opt out of arbitration. If you opt out, Tour De East Coast will also not be bound by the arbitration or class action waiver clauses.

  • Changes to Arbitration: Tour De East Coast will provide notice of any future changes to this arbitration section. Changes will only apply prospectively to disputes arising after the effective date of such changes.

8. Solicited Submission Policy

If Tour De East Coast specifically requests or invites you to submit content (ideas, photos, or other materials) to us (“User Submissions”), then you may do so under the following terms. You represent that any User Submission you provide is your original creation. By submitting any User Submission to Tour De East Coast, you grant Tour De East Coast and its affiliates an irrevocable, worldwide, royalty-free, perpetual, sublicensable right to use, reproduce, distribute, modify, publish and display the User Submission and your name or likeness in connection with the Services or Tour De East Coast’s business. You acknowledge that User Submissions are non-confidential, and Tour De East Coast has no obligation to pay you or anyone else for any use of your User Submissions.

 

9. Inappropriate User Submissions

You must not submit any content to Tour De East Coast that is generated by unlawful or dangerous activities. In particular, you agree not to submit any User Submission that involves activities creating the risk of personal injury, property damage, crime, or violation of law. You also agree not to submit anything that defames or harasses others. Tour De East Coast reserves the right to remove or refuse any submission that, in our sole judgment, violates this policy or is otherwise objectionable, without notice or liability.

 

10. Prohibited Conduct

You may not use the Services to post, share, or transmit any content that is unlawful, defamatory, obscene, pornographic, harassing, abusive, or otherwise objectionable. Prohibited content includes anything that infringes on the rights of others (such as copyright or privacy rights) or that constitutes spam (e.g., unsolicited advertising). Tour De East Coast may remove or block any such content and may suspend or terminate your access to the Services if you violate this provision. Tour De East Coastwill fully cooperate with law enforcement authorities and court orders requesting or directing Tour De East Coast to disclose the identity of anyone posting any such prohibited material.

 

11. Access and Interference

You agree not to interfere with or disrupt the Services or the servers/networks connected to the Services. You will not use any automated means (robots, spiders, scrapers, etc.) to access the Services without Tour De East Coasts express written permission. You will not (a) take any action that imposes an unreasonable or disproportionately large load on Tour De East Coast’s infrastructure, (b) attempt to gain unauthorized access to any portion of the Services, or (c) bypass any measures Tour De East Coast may use to prevent or restrict access to the Services.

 

12. Content Monitoring and Takedown

Tour De East Coast is not required to pre-screen any content submitted by users to the Services. However, Tour De East Coast may monitor, edit, or remove any content at its sole discretion, especially if it believes a violation of these Terms has occurred or to comply with law. Except as required by law, Tour De East Coast will not disclose personal user communications or content to third parties without consent. Tour De East Coast is not responsible for the content provided by other users.

 

13. User Content Disclaimer

Any content that other users post through the Services (e.g. reviews, photos, messages) represents the views of those users only, not Tour De East Coast’s views. Tour De East Coastdoes not guarantee the accuracy, completeness, or quality of any such user-generated content. You agree that you use and rely on any content from other users at your own risk, and Tour De East Coast disclaims any liability for user content.

 

14. Third-Party Links

The Services may contain links to websites or services that are not owned or controlled by Tour De East Coast. These links are provided for convenience only. Tour De East Coast does not endorse or make any representations about the content, policies, or practices of any third-party sites. If you visit any such third-party links, you do so at your own risk. We encourage you to review the terms and privacy policies of any third-party sites you visit.

 

15. Termination

Tour De East Coast may suspend or terminate your access to the Services at any time for any reason, including without limitation if you breach this Agreement or if Tour De East Coast cannot verify or authenticate any information you provide. You may terminate your account at any time by contacting support. Termination does not relieve you of any obligations that arose prior to termination. Sections that by their nature should survive (such as ownership provisions, disclaimers, indemnities, etc.) will remain in effect even after termination.

 

16. Representations and Warranties

You represent and warrant that: (a) you are at least 18 years old and have the legal capacity to enter into this Agreement; (b) your use of the Services will comply with all applicable laws and regulations; (c) you will abide by all terms of this Agreement; and (d) any information you provide (including Registration Data and payment information) is accurate and complete. If you submit any content to Tour De East Coast, you represent that you have all rights necessary to grant the licenses described above, and that Tour De East Coast’s use of such content will not violate the rights of any third party.

 

17. Disclaimers

YOUR USE OF THE SERVICES (INCLUDING THE MOBILE APP AND ANY RENTAL VEHICLES) IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTY OF ANY KIND. TOUR DE EAST COAST AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY OR NON-INFRINGEMENT. Tour De East Coast does not warrant that the Services will be uninterrupted or error-free, or that any defects will be corrected. If local law provides any implied warranties, those are limited to the greatest extent permitted by law.

 

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOUR DE EAST COAST AND ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF DATA OR OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF TOUR DE EAST COAST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT OF ANY PROBLEM WITH THE SERVICES OR ANY VEHICLE, YOUR SOLE REMEDY IS TO CEASE USING THE SERVICES. TOUR DE EAST COAST’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION TOUR DE EAST COAST FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

 

19. Indemnification

You agree to defend, indemnify and hold harmless Tour De East Coast and its affiliates (including officers, directors, employees and agents) from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of this Agreement; (c) your violation of any law or third-party rights; or (d) any content or other material that you provide to Tour De East Coast.

 

20. Release

If you have a dispute with another user of the Services, you release Tour De East Coast (and its officers, directors, agents and affiliates) from all claims, demands and damages of every kind and nature arising out of or connected with that dispute. Tour De East Coast disclaims any liability or responsibility for any interactions or agreements between you and other users.

 

21. Force Majeure

Neither Tour De East Coast nor you will be liable for any failure or delay in performance (other than payment obligations) due to causes beyond the reasonable control of the party, including acts of God, fire, flood, war, strikes, pandemics, governmental actions, or any other force majeure event.

 

22. Privacy

Tour De East Coast’s collection and use of your personal information is governed by Tour De East Coast’s Privacy Policy, which is incorporated into this Agreement by reference. Please review the Privacy Policy (available at www.tourdec.com/privacy-policy) to understand how Tour De East Coast handles your information.

 

23. Governing Law and Jurisdiction

This Agreement and all matters related to it (including its formation, interpretation, performance and enforcement) are governed by the laws of the Province of Nova Scotia and the laws of Canada applicable in Nova Scotia teapothecarytea.com. You and Tour De East Coastsubmit to the exclusive jurisdiction of the courts of Halifax, Nova Scotia in respect of any dispute not subject to arbitration. Any provision of these Terms that is found to be invalid or unenforceable will be severed and the remaining provisions will continue in full force and effect. This Agreement (including all policies and agreements expressly incorporated by reference) constitutes the entire agreement between you and Tour De East Coast regarding the subject matter hereof.

He has a post-secondary diploma in accounting obtainedfrom Niagara Community College (Ontario) and abachelor’s in commerce degree from Saint Mary’sUniversity (Halifax, NS).
